Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and AuditySEO ("AuditySEO", "we", "us", or "our") governing your access to and use of the AuditySEO website, our WordPress plugins (including Comment Image Boost and Canonical URL Manager), the SEO Analyzer tool, and any related services (collectively, the "Services").

By accessing our website, installing one of our plugins, or using the SEO Analyzer, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, please do not use the Services.

AuditySEO develops and distributes WordPress plugins designed to help site owners manage technical SEO, indexing, and content workflows, and operates the SEO Analyzer, a tool for reviewing the SEO health of a website.

Free editions of our plugins are distributed through the official WordPress Plugin Directory under its applicable open-source license. Optional Pro plans unlock additional features and are licensed and billed through our payment processing partner, Freemius, as described in Section 5.

We may add, modify, or discontinue features of the Services at any time. We will make reasonable efforts to communicate material changes that affect existing Pro licenses.

You may use the Services only if you are able to form a legally binding contract and only in compliance with these Terms and all applicable local, state, national, and international laws and regulations.

When using the Services, you agree not to:

• Reverse engineer, decompile, or attempt to extract the source code of any premium (Pro) plugin features, except where permitted by applicable law.
• Redistribute, resell, sublicense, or share Pro license keys with parties who have not purchased a corresponding license.
• Use the Services to transmit malware, conduct denial-of-service attacks, or otherwise interfere with the integrity or performance of the Services.
• Use the website, contact forms, or the SEO Analyzer to submit unlawful, infringing, abusive, or fraudulent content.
• Misrepresent your identity or affiliation, or use the Services to violate the privacy or rights of any third party.

The free versions of our plugins are licensed under the terms specified in their respective WordPress.org listings, which permit use, modification, and redistribution under an open-source license. All trademarks, logos, product names, copy, graphics, and other content on the AuditySEO website that are not part of an open-source release remain the exclusive property of AuditySEO or its licensors.

A Pro license grants you a limited, non-exclusive, non-transferable right to use the licensed premium features on the number of sites permitted by your plan, for as long as your license remains active. Pro licenses do not transfer ownership of any underlying code, design, or intellectual property.

Pro plans are sold and billed through Freemius, our third-party commerce platform. Depending on the product, Pro plans may be offered on a monthly, annual, or one-time lifetime basis.

• Recurring subscriptions (monthly or annual) automatically renew at the end of each billing period unless cancelled before the renewal date.
• You can manage, downgrade, or cancel your subscription at any time through the customer portal link provided in your purchase confirmation email.
• Lifetime licenses are billed once and do not renew, but remain subject to the support and update terms described at the time of purchase.
• Refund eligibility, if any, is governed by the refund policy presented to you by Freemius at the time of purchase. Where required by applicable consumer protection law, statutory rights are not affected.

AuditySEO does not directly store or process your payment card details. All payment information is collected and processed by Freemius and its payment providers.

The Services rely on, integrate with, or link to third-party services, including Freemius (licensing and payments), Resend (transactional email delivery for our contact form), and Google Analytics and Google Tag Manager (website analytics). Your use of these third-party services may be subject to their own terms and privacy policies, and AuditySEO is not responsible for the practices of these independent providers.

The Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not guarantee that our plugins or the SEO Analyzer will be uninterrupted, error-free, or fully compatible with every WordPress configuration, theme, or third-party plugin. We do not guarantee any specific search engine ranking, indexing outcome, or traffic result from using the Services.

To the maximum extent permitted by applicable law, AuditySEO and its officers, employees, and partners shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or in connection with your use of, or inability to use, the Services, even if we have been advised of the possibility of such damages.

To the extent permitted by law, AuditySEO's total aggregate liability for any claim arising from or related to the Services shall not exceed the amount you paid to AuditySEO for the applicable Pro license in the twelve (12) months preceding the event giving rise to the claim.

You agree to indemnify and hold harmless AuditySEO and its officers, employees, and partners from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the Services, or your violation of these Terms.

We may suspend or terminate your access to the Services, including a Pro license, if we determine, in our reasonable discretion, that you have violated these Terms. You may stop using the Services and uninstall our plugins at any time. Sections of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will continue to apply.

We may update these Terms from time to time to reflect changes to the Services, our business practices, or applicable law. When we make material changes, we will update the "Last updated" date at the top of this page. Your continued use of the Services after changes become effective constitutes your acceptance of the revised Terms.

These Terms shall be governed by and construed in accordance with the laws applicable in the jurisdiction in which AuditySEO is established, without regard to its conflict-of-law provisions. Any disputes arising from these Terms or the Services will be subject to the exclusive jurisdiction of the competent courts of that jurisdiction, except where applicable law provides otherwise.
